Terms of Service

These Terms of Service (the "Terms") govern access to and use of Nexus Apps, including the Nexus Apps Chrome extension, Nexusdev-hosted services, APIs, integrations, websites, subscription services, configuration sync, and related support services provided by Développement Nexusdev Inc. ("Nexusdev", "we", "us", or "our").
By installing, accessing, subscribing to, or using Nexus Apps, you agree to these Terms on behalf of yourself and, if applicable, the business or organization you represent. If you use Nexus Apps for a business or organization, you represent that you have authority to bind that business or organization to these Terms.
If a purchase is processed by Paddle or another merchant of record or payment provider, that provider's buyer-facing terms govern the payment transaction, checkout, payment method, tax calculation, receipt, and refund mechanics. These Terms govern your access to and use of Nexus Apps as the software product and supplier agreement between you and Nexusdev.

2. The Services
Nexus Apps provides software tools that add workflow, reporting, integration, automation, configuration, and operational features for merchants using supported third-party commerce platforms, including Lightspeed Retail R-Series, Lightspeed Retail X-Series, Lightspeed Golf, and other supported platforms.
The Services may include:
- Chrome extension features
- Nexusdev-hosted backend services and APIs
- web pages, customer account tools, admin tools, and checkout or subscription-management pages
- app configuration and synchronization
- subscription, billing, provisioning, and entitlement workflows
- product onboarding, troubleshooting, and support for Nexus Apps
- private or customer-specific Nexus Apps and related configuration when included in a subscription, order, or written agreement
Nexusdev may modify, improve, suspend, or discontinue all or part of the Services at any time, except where we have expressly agreed otherwise in writing or where prohibited by applicable law.
3. Relationship With Third-Party Platforms
Nexus Apps is provided by Nexusdev and is not owned, operated, endorsed, sponsored, or controlled by Lightspeed or any other third-party platform unless expressly stated in writing. Third-party names, trademarks, and product references belong to their respective owners and are used only to identify compatibility or integration context.
The Services may depend on third-party platforms, websites, APIs, browser interfaces, permissions, credentials, data, pricing, policies, or content. Nexusdev does not control those third parties and is not responsible for their availability, functionality, interface changes, API changes, access restrictions, pricing changes, outages, errors, policies, or discontinuation.
Nexusdev is not liable for losses, delays, malfunctions, incompatibilities, or service interruptions caused by third-party platforms, including changes made by Lightspeed or any other supported platform.
4. Order Forms, Written Agreements, and Conflicts
Some Services may be purchased through a checkout flow, subscription page, invoice, written order, or other written agreement. If a written agreement signed or expressly accepted by Nexusdev conflicts with these Terms, the written agreement controls only for the specific Services and conflict it covers.
For purchases processed by Paddle, Paddle acts as merchant of record or authorized reseller for the transaction where indicated in the checkout or receipt. Paddle's buyer terms and policies apply to the payment transaction. Nexusdev remains responsible for making Nexus Apps available according to these Terms, subject to third-party dependencies and the limitations described here.
5. Eligibility and Authority
You represent that:
- you are legally able to enter into these Terms
- you are authorized to use the Services on behalf of your business or organization, if applicable
- you have authority to bind that business or organization to these Terms
- the account, billing, business, tax, and contact information you provide is accurate and current
- your use of the Services is for lawful business purposes
6. Accounts, Access, and Authorized Users
You are responsible for all activity that occurs through your accounts, devices, browser profiles, credentials, and authorized users.
You must keep account credentials, platform credentials, license keys, billing-portal links, API keys, and other access mechanisms secure. You must promptly notify Nexusdev if you believe access to the Services or related third-party platforms has been compromised.
Access may be limited by subscription plan, merchant account, location, register, shop, user, device, app, feature, usage level, or other scope described in the applicable checkout, invoice, order, configuration, or written agreement. You may not share, resell, sublicense, or extend access beyond the purchased or authorized scope.
7. Customer Responsibilities
You are responsible for:
- maintaining accurate account, business, tax, and billing information
- ensuring your use of the Services complies with applicable laws and third-party agreements
- obtaining any required permissions, notices, or consents for data submitted to or accessed through the Services
- maintaining the security of your accounts, devices, credentials, browser environments, networks, and third-party platform access
- reviewing outputs before relying on them in operational, financial, customer-facing, tax, compliance, inventory, pricing, reporting, or other sensitive workflows
- testing configured apps and workflows in your own environment before relying on them operationally
- ensuring that authorized users in your organization use the Services appropriately
- backing up data where appropriate and maintaining your own business continuity procedures
The Services are not professional legal, tax, accounting, financial, security, or compliance advice. You remain responsible for decisions made using the Services.
8. Acceptable Use
You may not:
- use the Services in violation of applicable law or third-party rights
- interfere with or disrupt the Services or related infrastructure
- attempt to gain unauthorized access to the Services, related systems, other customers' data, or third-party platforms
- reverse engineer, copy, resell, sublicense, or misuse the Services except as permitted by law or expressly authorized by Nexusdev
- remove or obscure proprietary notices, branding, attribution, or technical controls
- use the Services to transmit malware, harmful code, abusive content, or unlawful material
- use the Services to process unlawful, deceptive, harmful, or unauthorized data
- use the Services for unauthorized scraping, credential harvesting, surveillance, spam, fraud, or deceptive activity
- use the Services in a way that could damage Nexusdev, other users, third-party platforms, payment providers, or third parties
- attempt to bypass subscription, billing, entitlement, usage, security, or access controls
9. Fees, Billing, Taxes, and Renewals
Some Services require paid subscriptions, private app subscriptions, add-ons, or related product fees. Fees, billing cycles, renewal terms, plan details, quantities, taxes, trial terms, and cancellation options will be described in the applicable order, checkout flow, invoice, subscription page, billing portal, or written agreement.
Subscriptions may renew automatically unless cancelled before the next renewal date. You are responsible for cancelling a subscription before renewal if you do not want it to renew.
Payment processing may be handled by third-party payment providers or merchants of record, including Paddle, Stripe, or other providers. Those providers may collect and process payment information under their own terms and privacy practices. Nexusdev does not store full payment card numbers on its own servers.
Taxes may be calculated, collected, remitted, or invoiced by Nexusdev, Paddle, or another payment provider depending on how the purchase is processed. You are responsible for providing accurate billing, country, tax, exemption, and business information.
Nexusdev may suspend or terminate paid Services for non-payment, failed payment, chargeback, payment dispute, suspected fraud, inaccurate billing information, or billing information that is no longer valid.
10. Refunds and Cancellations
Refunds and cancellations are governed by the Nexus Apps Refund Policy, available from the Nexusdev or Nexus Apps website and incorporated into these Terms by reference.
Unless the Refund Policy, a written agreement, a payment provider's applicable buyer policy, or applicable law states otherwise, fees already charged are non-refundable and cancellation stops future renewals rather than refunding past subscription periods.
If a purchase is processed by Paddle as merchant of record, refund requests, statutory withdrawal rights, tax refunds, and payment reversals may also be handled under Paddle's buyer terms and refund policy.
11. Customer Data and Privacy
As between Nexusdev and the customer, the customer retains rights in its own data. You grant Nexusdev the rights reasonably necessary to host, process, transmit, store, access, use, display, and otherwise handle customer data as needed to provide, secure, support, maintain, troubleshoot, and improve the Services, and to comply with legal, tax, accounting, payment-provider, security, and contractual obligations.
You are responsible for ensuring that you have the rights, permissions, notices, consents, and lawful basis required to provide or make customer data available to Nexusdev and the Services.
Nexusdev handles personal information according to the Nexus Apps Privacy Policy, available from the Nexusdev or Nexus Apps website and incorporated into these Terms by reference.
12. Security and Service Integrity
Nexusdev uses reasonable technical and organizational measures intended to protect the Services. However, no system, browser extension, network, third-party platform, or transmission method is completely secure.
You acknowledge that the Services may operate in browser and third-party platform environments that Nexusdev does not control. Browser updates, extension-store requirements, third-party scripts, user permissions, platform interface changes, and local device conditions may affect functionality.
Nexusdev may take measures to protect the Services, customers, payment providers, third-party platforms, and the public, including rate limiting, blocking, investigation, suspension, logging, or disabling features where security, fraud, abuse, payment, legal, or operational risks are suspected.
13. Intellectual Property and License
Nexusdev and its licensors retain all rights, title, and interest in and to the Services, including software, source code, object code, designs, content, documentation, workflows, automation logic, configurations, branding, technology, and related intellectual property.
Subject to these Terms and payment of applicable fees, Nexusdev grants you a limited, non-exclusive, non-transferable, revocable right to use the Services for your internal business purposes within the scope of your subscription, order, or written agreement.
You may not copy, modify, distribute, resell, sublicense, create derivative works from, or otherwise exploit the Services except as expressly permitted by Nexusdev in writing or by applicable law.
14. Feedback
If you provide ideas, suggestions, requests, bug reports, or feedback relating to the Services, Nexusdev may use them without restriction or obligation to you, provided that this does not grant Nexusdev ownership of your customer data.
15. Support and Availability
Nexusdev may provide support through email or other support channels. Unless expressly agreed in writing, Nexusdev does not guarantee a specific response time, resolution time, uptime level, feature availability, platform compatibility, or support availability level.
The Services may be unavailable from time to time due to maintenance, updates, third-party platform changes, outages, security issues, payment-provider issues, browser or extension-store changes, or other operational reasons.
16. Private Apps and Customer-Specific Configuration
Some Nexus Apps may be private, customer-specific, or configured for a particular merchant environment. Private Apps are Nexus Apps software products, subscription features, or add-ons made available through Nexus Apps. Any setup or configuration is ancillary to the subscribed software product.
Private Apps and customer-specific configuration may depend on third-party systems, customer-provided information, platform behavior, customer settings, and ongoing platform compatibility. Unless expressly stated otherwise in writing, private app subscriptions and related configuration are provided for the specific customer environment and purchased scope agreed at the time, and are governed by these Terms, the applicable order, and the Refund Policy.
17. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXUSDEV DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR QUIET ENJOYMENT.
NEXUSDEV DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR COMPATIBLE WITH EVERY DEVICE, BROWSER, EXTENSION STORE, ENVIRONMENT, THIRD-PARTY PLATFORM, CUSTOMER WORKFLOW, OR CUSTOMER CONFIGURATION.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXUSDEV AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS INTERRUPTION, ANTICIPATED SAVINGS, OR THIRD-PARTY PLATFORM CONSEQUENCES, ARISING OUT OF OR RELATING TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF NEXUSDEV ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
- the amounts paid by the customer to Nexusdev or through an authorized payment provider for the relevant Service during the 12 months immediately preceding the event giving rise to the claim; or
- CAD $500.
Some jurisdictions do not allow certain exclusions or limitations of liability, so some limitations may not apply to you. Nothing in these Terms limits rights that cannot be limited under applicable law.
19. Indemnity
You agree to defend, indemnify, and hold harmless Nexusdev and its affiliates, officers, directors, employees, contractors, licensors, and service providers from and against third-party claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to:
- your use or misuse of the Services
- your violation of these Terms
- your data, content, instructions, configurations, or workflows
- your violation of applicable law or third-party rights
- your use of third-party platforms through or in connection with the Services
- your failure to obtain required permissions, notices, consents, or lawful basis for data processed through the Services
20. Suspension and Termination
Nexusdev may suspend or terminate access to all or part of the Services if we reasonably believe:
- you breached these Terms
- continued access creates security, legal, financial, payment, fraud, support, or operational risk
- a third-party dependency prevents continued service
- payment is overdue, disputed, reversed, or failed
- suspension is needed to comply with law, payment provider requirements, browser-store requirements, or third-party platform requirements
- the Services are being used beyond the purchased or authorized scope
You may stop using the Services at any time. Subscription cancellation is handled under the applicable billing flow and Refund Policy.
Sections that by their nature should survive termination will survive, including provisions relating to fees, customer responsibilities, customer data, privacy, intellectual property, disclaimers, limitation of liability, indemnity, suspension, termination, and governing law.
21. Changes to the Services or Terms
Nexusdev may update the Services or these Terms from time to time. Updated Terms become effective when posted or otherwise communicated, unless a later effective date is stated. By continuing to use the Services after updated Terms become effective, you agree to the revised Terms.
For material changes affecting an active paid subscription, Nexusdev will use reasonable efforts to provide notice by email, within the Services, on the website, or through another reasonable method.
22. Governing Law
These Terms are governed by the laws of Quebec and the applicable federal laws of Canada, without regard to conflict of law principles.
Nothing in these Terms limits any mandatory rights or remedies that cannot be limited under applicable law.
